Terms of Service
These terms govern your use of the Lemmek API, dashboard, connect pages and related services.
Contents
1. Agreement
These Terms of Service ("Terms") are an agreement between you and Newerse OÜ, registered in Estonia (registry code: pending registration), Tallinn, Estonia ("Lemmek", "we", "us"). By creating an account, using an API key or otherwise using the service, you accept these Terms on behalf of yourself and the organisation you represent ("you" or "customer").
Lemmek is provided to businesses and professionals. You confirm that you are at least 18 years old and are using the service for business purposes, not as a consumer.
2. The service
Lemmek provides an API and related tools that let your product publish content to social media platforms on behalf of your users ("end users") who connect their own accounts through each platform's official authorization flow. The service includes a connect page that you can brand, webhooks, an MCP server for AI agents, and a dashboard.
Lemmek publishes content only through official platform APIs, only to accounts whose owners connected them, and only when you or the end user instruct it to.
3. Accounts and API keys
- You must provide accurate information and keep it up to date.
- You are responsible for keeping your API keys and credentials secret and for all activity under your account. Tell us promptly at the address below if you suspect unauthorised use.
- You may not share, sell or transfer access to your account or API keys to third parties, except to your own service providers acting for you.
4. Your responsibilities
If you connect end users' accounts through Lemmek, you must:
- obtain each end user's informed consent before connecting their account and before publishing on their behalf, and publish only what they have authorised;
- provide end users with a privacy notice that describes your use of Lemmek and your own processing of their data;
- let end users disconnect their accounts and honour their requests to delete data;
- comply with the terms, developer policies and community guidelines of each platform you publish to, and with applicable law, including data protection, consumer protection, advertising and intellectual property law;
- pass through the settings platforms require the end user to choose, such as TikTok privacy level or YouTube audience settings, without pre-selecting them on the end user's behalf where the platform prohibits it.
5. Acceptable use
You may not use Lemmek, and may not allow anyone else to use it, to:
- send spam, or publish unsolicited, repetitive or bulk content that platforms or recipients have not agreed to;
- engage in inauthentic behaviour, including fake accounts, impersonation, coordinated inauthentic activity, artificial engagement, or misleading people about who is behind content;
- publish to accounts without the owner's authorisation, or after the owner has withdrawn it;
- circumvent, or attempt to circumvent, any platform's rate limits, posting limits, review processes, content labelling rules or enforcement actions;
- violate any platform's terms, developer policies or community guidelines;
- publish content that is illegal, infringes intellectual property or privacy rights, is defamatory, harasses or threatens others, promotes violence or hate, exploits minors, or is sexually explicit where not permitted;
- publish deceptive content, including undisclosed paid promotion or AI-generated content that is not labelled where the platform or the law requires it;
- distribute malware, phishing or scams;
- interfere with the security or operation of the service, probe it for vulnerabilities outside our responsible disclosure process, or access it by means other than the documented interfaces;
- resell the service as a standalone publishing API without our written agreement.
We may investigate suspected violations and cooperate with platforms and authorities.
6. Content
You and your end users are solely responsible for all content published through Lemmek, including its legality, accuracy and compliance with platform rules. We do not review content before it is published and do not endorse it.
You grant us a limited licence to host, copy, convert and transmit content solely to provide the service. You confirm that you and your end users have the rights needed to publish it.
7. Third-party platforms
Social platforms are independent third parties. Lemmek is not affiliated with or endorsed by them. Platforms may change or withdraw their APIs, restrict or review our apps, reject or remove content, or limit accounts. We are not responsible for platform actions, and features may change or become unavailable as a result. Your and your end users' use of each platform remains subject to that platform's terms.
8. Notice and takedown
If you believe content published through Lemmek is illegal or infringes your rights, send a notice to hello@lemmek.com with the subject "Content notice", including:
- the link to the content and the platform it appeared on;
- why you believe it is illegal or infringing, with enough detail for us to assess it;
- your name and contact email; and
- a statement that the notice is accurate and made in good faith.
Content is hosted by the platform it was published to, so the fastest way to remove it is usually to report it to that platform. We will review notices promptly, may suspend publishing for the account concerned, notify the customer, and cooperate with the platform. Customers may respond to a notice by contacting the same address.
9. Fees and billing
- Fees are described on the Pricing page or in your order. Usage is measured per active account per calendar month.
- Fees are billed monthly in arrears through Stripe, exclude VAT and other taxes, and are non-refundable except where required by law.
- Costs charged by platforms directly to you, such as X API fees under your own keys, are your responsibility.
- We may change prices with at least 30 days' notice. Changes apply from your next billing period.
- If payment is overdue, we may suspend the service after notice.
10. Private beta
Lemmek is currently in private beta. Beta features may be incomplete, change without notice, or be discontinued, and platform availability depends on platform approvals. Beta pricing is subject to change. Service level commitments apply only if agreed in writing.
11. Data protection
For end users' personal data, you are the controller and we act as your processor under our Data Processing Agreement, which forms part of these Terms and is available on request from privacy@lemmek.com. Our Privacy Policy describes our own processing as controller.
12. Intellectual property
We own the service, including the API, software, documentation and the Lemmek name. We grant you a non-exclusive, non-transferable right to use the service during your subscription in line with these Terms. You keep all rights in your content and data. If you send us feedback, we may use it without obligation to you.
13. Suspension and termination
- You may stop using the service and close your account at any time.
- We may suspend or terminate your access, in whole or for specific accounts, immediately if you breach these Terms or the acceptable use policy, if a platform requires it, if needed to prevent harm to end users, platforms or the service, or if required by law. Where reasonable we will notify you first and give you a chance to fix the issue.
- We may terminate the service for convenience with 30 days' notice.
- On termination we stop publishing, revoke stored platform tokens and delete your data in line with our Privacy Policy. You may export your data before termination, except where suspension is due to a serious breach.
14. Disclaimers
To the extent permitted by law, the service is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error free, that any platform will accept or keep published content, or that any result or reach will be achieved.
15. Limitation of liability
To the extent permitted by law:
- neither party is liable for indirect or consequential damages, loss of profits, revenue, goodwill or data, or for platform actions;
- our total liability arising from these Terms in any 12-month period is limited to the fees you paid us in that period, or EUR 100 if greater.
Nothing in these Terms limits liability for intentional breach or gross negligence, for death or personal injury, or any other liability that cannot be limited under applicable law.
16. Indemnity
You will defend and indemnify us against third-party claims, including claims by platforms, end users or authorities, arising from your content, your end users' content, your breach of these Terms, or your violation of law or platform rules.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules. Disputes will be settled by Harju County Court (Harju Maakohus) in Tallinn, Estonia, unless mandatory law provides otherwise. We will first try to resolve any dispute in good faith by discussion.
18. General
We may update these Terms. For material changes we will notify customers at least 30 days in advance by email or in the dashboard; continued use after the effective date means acceptance. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms, together with any order and the Data Processing Agreement, are the entire agreement on this subject.
